Welcome to MI Tags Manager. These Terms of Service ("Terms") govern your access to and use of the MI Tags Manager Chrome browser extension and related services (collectively, the "Service") provided by I Zhurov ("we," "us," or "our").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

IMPORTANT: These Terms contain an arbitration agreement and class action waiver that affect your legal rights. Please review Section 15 carefully.

1. Acceptance of Terms

By creating an account, installing the browser extension, or otherwise accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference into these Terms.

You represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding agreement
  • You will comply with all applicable laws and regulations in your use of the Service
  • All information you provide to us is accurate and complete

2. Description of Service

MI Tags Manager is a Chrome browser extension that helps Etsy sellers optimize their product tags by:

  • Collecting and caching publicly visible data from Etsy's Marketplace Insights pages
  • Displaying tag statistics including search volume and listing counts
  • Organizing and managing saved tags across multiple categories and shops
  • Synchronizing user preferences and data across devices (on paid plans)
  • Providing analytics and insights to improve tag selection strategies

Important Note: Our Service only processes publicly visible information from Etsy's Marketplace Insights. We do not access, collect, or store any private data from your Etsy account, listings, sales, or customer information.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account by providing a valid email address. You agree to:

  • Provide accurate and complete information during registration
  • Maintain and promptly update your account information
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account

3.2 Account Sharing

You may share your account credentials with other individuals or use your account for multiple Etsy shops or businesses. However, you remain solely responsible for all activities that occur under your account.

3.3 Account Transfer

You may transfer or sell access to your account to third parties. Upon transfer, the new account holder assumes all responsibilities and obligations under these Terms. You must notify us of any account transfers at admin@mitagsmanager.com.

3.4 Account Security

You are responsible for all activities conducted through your account, whether or not you authorized such activities. We are not liable for any loss or damage arising from your failure to maintain account security.

4. Subscription Plans and Pricing

4.1 Available Plans

We offer the following subscription tiers:

4.2 Free Service

We offer limited free access to our Service (Anon and Free plans). Free plans are provided "as-is" without any warranties or guarantees of availability, performance, or support.

4.3 Paid Subscriptions

Paid subscriptions (Professional, StarSeller, and Premium) are billed monthly on a recurring basis. By subscribing to a paid plan, you authorize us to charge your payment method on a monthly basis until you cancel your subscription.

4.4 No Trial Period

Paid plans do not include a free trial period. You will be charged immediately upon subscribing to a paid plan.

4.5 Price Changes

We reserve the right to modify our subscription prices at any time. We will provide at least 30 days' notice of any price increases by email. Price changes will apply to your next billing cycle after the notice period. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

5. Billing and Payment

5.1 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. We do not store or have access to your payment card information. By providing payment information, you agree to Stripe's terms of service and privacy policy.

5.2 Automatic Renewal

Your subscription will automatically renew each month on the anniversary of your initial subscription date unless you cancel before the renewal date. You authorize us to charge your payment method for each renewal period.

5.3 Failed Payments

If a payment fails due to card expiration, insufficient funds, or other reasons:

  • We will attempt to process payment up to 3 times over a 7-day period
  • You will receive email notifications of failed payment attempts
  • Your account may be downgraded to the Free plan if payment cannot be processed
  • Your saved data will be retained for 30 days to allow you to update payment information

5.4 Taxes

You are responsible for any applicable taxes, duties, or government charges related to your subscription. Subscription prices do not include such charges unless explicitly stated.

6. Cancellation and Refunds

6.1 Cancellation by User

You may cancel your subscription at any time by contacting us at admin@mitagsmanager.com. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period
  • You will not be charged for subsequent billing periods
  • You will retain access to paid features until the end of the paid period
  • No refunds will be issued for the current billing period or any unused portion thereof

6.2 Refund Policy

Refunds are generally not provided except in the following circumstances:

  • Current Month: Refunds may be issued at our sole discretion for the current billing month upon request
  • Prepaid Periods: If you have paid for multiple months in advance, unused future months may be refunded upon request
  • Service Failure: If our Service experiences significant downtime or failure, we may issue prorated refunds at our discretion

To request a refund, contact us at admin@mitagsmanager.com with your account details and reason for the request. Refund requests will be reviewed on a case-by-case basis and processed within 14 business days if approved.

6.3 Downgrade Policy

Downgrades between paid plans or to the Free plan are not automatically available. To downgrade your subscription:

  • Contact us at admin@mitagsmanager.com
  • Downgrades will take effect at the end of your current billing period
  • No refunds will be issued for the difference between plan prices
  • Data exceeding the limits of your new plan may be archived or deleted

6.4 Upgrade Policy

You may upgrade your subscription at any time:

  • When upgrading mid-billing cycle, you will be charged the prorated difference between your current plan and the new plan
  • Your new plan pricing will apply in full for all subsequent billing periods
  • Upgraded features become available immediately upon payment confirmation

6.5 Cancellation by Us

We reserve the right to suspend or terminate your subscription and access to the Service at any time for violation of these Terms, fraudulent activity, abuse of the Service, or other legitimate business reasons. In such cases:

  • We will provide notice via email when reasonably possible
  • Refunds may be issued at our sole discretion based on the circumstances
  • You remain liable for all charges incurred up to the termination date

7. Acceptable Use Policy

7.1 Permitted Uses

You may use the Service for legitimate business purposes related to optimizing your Etsy listings and tag strategies. You may:

  • Use your account for multiple Etsy shops or businesses
  • Share account access with team members or collaborators
  • Transfer or sell your account to third parties
  • Export your data in available formats (on applicable plans)

7.2 Prohibited Uses

You agree not to:

  • Automated Access: Use bots, scrapers, crawlers, or other automated means to access, extract, or download data from the Service without our express written permission
  • Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the browser extension or any part of the Service
  • Circumvent Limitations: Attempt to bypass, disable, or circumvent any security features, access controls, or usage limitations of the Service
  • Interfere with Service: Interfere with or disrupt the integrity or performance of the Service or attempt to gain unauthorized access to our systems
  • Illegal Activities: Use the Service for any illegal, fraudulent, or unauthorized purposes, or in violation of any applicable laws or regulations
  • Harmful Content: Upload, transmit, or distribute viruses, malware, or other malicious code through the Service
  • Infringe Rights: Violate intellectual property rights, privacy rights, or other rights of third parties
  • Abuse Etsy's Service: Use our Service in any manner that violates Etsy's Terms of Use or policies

7.3 Consequences of Violations

Violation of this Acceptable Use Policy may result in:

  • Immediate suspension or termination of your account without refund
  • Legal action to recover damages and enforce our rights
  • Reporting to relevant authorities for illegal activities
  • Permanent ban from using the Service

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service, including the browser extension, website, backend systems, algorithms, software code, design elements, trademarks, logos, and all related intellectual property, is owned exclusively by us and is protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any ownership rights to the Service. You receive only a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

8.2 Data Ownership

All data collected, stored, and processed by the Service, including but not limited to:

  • User-saved tags and keywords
  • User preferences and settings
  • Marketplace Insights data collected from Etsy
  • Aggregated and anonymized usage data

is the property of MI Tags Manager. By using the Service, you grant us a worldwide, royalty-free, perpetual license to use, process, analyze, and store this data for purposes of providing and improving the Service.

8.3 Use of Aggregated Data

We may use aggregated, anonymized data derived from user activity for:

  • Improving Service functionality and features
  • Conducting market research and analytics
  • Developing new products or services
  • Creating industry reports or benchmarks (without identifying individual users)

8.4 Etsy Data

Data collected from Etsy's Marketplace Insights consists of publicly available information. We claim no ownership over Etsy's underlying data or intellectual property. Our Service merely collects, caches, and presents this public information in a more useful format.

8.5 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, royalty-free license to use, implement, and commercialize such feedback without attribution or compensation.

9. Disclaimer of Warranties

IMPORTANT: Please read this section carefully as it limits our liability to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Service will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of any data or content
  • Warranties that defects will be corrected or that the Service is free of viruses or harmful components

We specifically disclaim any warranties regarding:

  • Service Availability: We do not guarantee continuous, uninterrupted, or secure access to the Service. The Service may be subject to limitations, delays, interruptions, and other problems inherent in internet and electronic communications.
  • Data Accuracy: While we strive to provide accurate data from Marketplace Insights, we do not warrant the accuracy, completeness, or timeliness of any data. Marketplace Insights data is provided by Etsy and may contain errors or become outdated.
  • Business Results: We make no guarantees that use of the Service will improve your Etsy sales, search rankings, or business performance. Results depend on numerous factors beyond our control.
  • Third-Party Services: We are not responsible for the availability, accuracy, or reliability of third-party services, including Etsy's platform and Marketplace Insights.
  • Data Loss: While we implement reasonable backup procedures, we do not guarantee against data loss. You are responsible for maintaining your own backups of critical information.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, warranties are limited to the shortest duration permitted by law.

10. Limitation of Liability

CRITICAL: This section limits our liability for damages arising from your use of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

10.1 Exclusion of Damages

  • Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages
  • Lost Profits: Loss of profits, revenue, business opportunities, goodwill, or anticipated savings
  • Business Interruption: Business interruption or lost business time
  • Data Loss: Loss, corruption, or unauthorized access to data
  • Personal Injury: Personal injury or property damage resulting from use of the Service
  • Third-Party Claims: Claims by third parties

These limitations apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

10.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES DURING THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

For users on free plans, our total liability shall not exceed $100 USD.

10.3 Basis of the Bargain

You acknowledge that we have set our prices and entered into these Terms in reliance upon the limitations of liability and disclaimers of warranties and damages set forth herein, and that the same form an essential basis of the bargain between you and us.

10.4 Exceptions

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Nothing in these Terms shall limit liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by applicable law

11. Indemnification

You agree to indemnify, defend, and hold harmless MI Tags Manager, I Zhurov, and our affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party, including intellectual property rights
  • Your violation of any applicable laws or regulations
  • Any data or content you submit, post, or transmit through the Service
  • Your negligence or willful misconduct

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. This indemnification obligation will survive termination of these Terms and your use of the Service.

12. Service Modifications and Availability

12.1 Right to Modify

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason including but not limited to:

  • Technical improvements or maintenance
  • Changes in business strategy or priorities
  • Legal or regulatory requirements
  • Actions by third parties (including Etsy) that impact the Service
  • Force majeure events beyond our control

12.2 Notice of Changes

For material changes to the Service that negatively affect existing functionality:

  • We will provide at least 30 days' notice via email
  • In cases of emergency, legal requirements, third-party actions, or force majeure, changes may be implemented immediately without advance notice

12.3 No Liability for Modifications

We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service, except as expressly provided in these Terms.

12.4 Service Availability

While we strive to maintain high availability, we make no guarantees regarding uptime or service continuity. The Service may experience:

  • Scheduled maintenance windows
  • Unplanned outages or technical issues
  • Performance degradation during peak usage
  • Interruptions due to third-party service failures (including Etsy, hosting providers, or payment processors)

12.5 Dependency on Third Parties

Our Service depends on third-party platforms and services, particularly:

  • Etsy: Changes to Etsy's website structure, Marketplace Insights, or terms of service may affect our Service functionality
  • Chrome Web Store: Changes to Chrome extension policies or APIs may require Service modifications
  • Infrastructure Providers: Hosting, payment processing, and email delivery depend on third-party services

We are not responsible for service interruptions caused by third-party actions or policies beyond our control.

13. Data Retention and Account Deletion

13.1 Account Deletion

You may request deletion of your account at any time by contacting us at admin@mitagsmanager.com. Upon account deletion:

  • Your email address will be deleted within 30 days
  • Your saved tags, preferences, and settings will be permanently deleted
  • Your subscription will be canceled (no refunds for current billing period)
  • Marketplace Insights data associated with your account will be anonymized or deleted
  • Some data may be retained for up to 7 years for accounting, legal compliance, or fraud prevention purposes

13.2 Data Retention After Cancellation

If you cancel your subscription but do not delete your account:

  • Your account will be downgraded to the Free plan
  • Data exceeding Free plan limits may be archived or deleted after 90 days
  • You may reactivate a paid subscription at any time to restore full access

13.3 Inactive Accounts

Accounts that remain inactive (no login activity) for more than 2 years may be subject to deletion after 30 days' notice via email.

14. Changes to Terms of Service

We reserve the right to modify these Terms at any time. When we make material changes to these Terms:

  • We will update the "Last Updated" date at the top of this document
  • We will send email notification to your registered email address
  • For material changes, we will provide at least 30 days' notice before the changes take effect

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.

It is your responsibility to review these Terms periodically for changes. We recommend checking this page regularly to stay informed of any updates.

15. Dispute Resolution and Arbitration

IMPORTANT ARBITRATION NOTICE: This section affects your legal rights, including your right to file a lawsuit in court. Please read carefully.

15.1 Informal Dispute Resolution

Before initiating arbitration or legal proceedings, you agree to first contact us at admin@mitagsmanager.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations for a period of 60 days.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration, except as provided below.

Arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA) in effect at the time the arbitration is initiated. The arbitration shall take place in Pinellas County, Florida, unless both parties agree to a different location or to conduct the arbitration telephonically or via videoconference.

15.3 Small Claims Court

Instead of arbitration, either party may bring an individual action in small claims court. Any dispute eligible for small claims court may be resolved in the small claims court with jurisdiction over your place of residence or Pinellas County, Florida.

15.4 Class Action Waiver

YOU AND WE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, or representative proceeding.

15.5 Arbitration Costs

You shall be responsible for all costs associated with arbitration, including but not limited to filing fees, administrative fees, arbitrator fees, and your own attorney's fees and costs. We shall bear our own attorney's fees and costs unless the arbitrator determines that your claims were frivolous or brought in bad faith, in which case you may be required to pay our reasonable attorneys' fees and costs as well.

15.6 Governing Law

These Terms and any disputes arising out of or related to the Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

15.7 Jurisdiction and Venue

To the extent that arbitration does not apply, you and we agree that any judicial proceeding shall be brought exclusively in the state or federal courts located in Pinellas County, Florida. You consent to personal jurisdiction and venue in such courts.

15.8 Time Limitation on Claims

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

16.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision shall be void.

16.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No third party shall have any right to enforce any provision of these Terms.

16.6 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet service failures, or failures of third-party services.

16.7 Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitations of liability, dispute resolution, and general provisions.

16.8 Relationship of Parties

You and we are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties.

16.9 Notices

All notices to you will be sent to the email address associated with your account. You agree that email notice constitutes adequate and sufficient notice. Notices to us should be sent to admin@mitagsmanager.com.

16.10 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Service. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.

17. Etsy Relationship

MI Tags Manager is an independent third-party tool and is not affiliated with, endorsed by, or sponsored by Etsy, Inc. Etsy is a registered trademark of Etsy, Inc.

Our Service:

  • Collects only publicly available information from Etsy's Marketplace Insights
  • Does not violate Etsy's Terms of Use or API policies
  • May be affected by changes to Etsy's platform, policies, or Marketplace Insights availability

You acknowledge that:

  • You remain solely responsible for compliance with Etsy's Terms of Use and seller policies
  • Our Service does not guarantee compliance with Etsy's rules or requirements
  • Changes by Etsy may affect Service functionality without notice or compensation
